Terms & Conditions

By commissioning a project, approving a project proposal or Statement of Work (SOW), executing an invoice payment, or using the digital products and API solutions provided by KKWEBMART DIGITAL SOLUTIONS ("KKWEBMART", "we", "us"), you ("Client", "you") agree to be bound by these Terms and Conditions.

These Terms, together with any formal project proposal, SOW, or Mutual Non-Disclosure Agreement (NDA) executed between the parties, constitute the entire agreement governing our professional relationship.

KKWEBMART provides specialized engineering services across ten core domains:

• Custom Software Development: Bespoke business platforms and enterprise workflow architectures.
• Web Application Engineering: High-performance modern web platforms and SaaS solutions.
• Mobile App Development: Native & cross-platform iOS and Android apps (Flutter, React Native).
• AI Automation & Agents: Autonomous workflows, LLM fine-tuning, RAG pipelines, and automated CRM bots.
• Messaging APIs: Verified Meta WhatsApp Business Cloud API and transactional SMS gateway delivery.
• Payment Gateway Integration: Multi-currency, UPI, and card checkout flows (Razorpay, Cashfree, Stripe, Juspay).
• ERP / CRM & Cloud DB: Multi-tenant SaaS architecture, cloud infrastructure, auto-scaling, and database optimization.

To enable rapid engineering and meet targeted sprint deadlines, the Client agrees to:

• Timely Information & Assets: Provide required branding assets, technical copy, test credentials, and third-party account authorizations within agreed schedules.
• Review & Milestone Feedback: Test and provide consolidated feedback on staging previews within five (5) business days of delivery notification.
• Single Point of Contact (SPOC): Designate an authorized project representative with approval authority for design, architecture, and milestone sign-offs.

We believe in performance-driven billing. All projects are structured on milestone-based disbursements:

• Invoicing Terms: Invoices are payable within seven (7) business days of issuance via Bank Wire (NEFT/RTGS/IMPS), UPI, or authorized gateway link.
• Taxes: All quoted project fees are exclusive of statutory taxes (such as GST at applicable rates), which will be itemized on formal tax invoices.
• Late Payments: Overdue invoices exceeding fourteen (14) days may result in a temporary pause of active sprint engineering until settled.

Pre-Existing Frameworks & Open Source: KKWEBMART utilizes established open-source tools (e.g., React, Flutter, Node.js, PostgreSQL) and internal engineering boilerplates. The Client receives a perpetual, worldwide, royalty-free, non-exclusive license to use, modify, and distribute these embedded components within their software.

Digital solutions frequently rely on external cloud and API providers. The Client understands and agrees that:

• Direct Client Accounts: Hosting servers (AWS, GCP, Hostinger), messaging gateways (Meta WhatsApp Cloud API, SMS routes), and payment gateways (Razorpay, Stripe) must be registered in the Client’s corporate name.
• Consumption Costs: All ongoing third-party usage fees (e.g. WhatsApp conversation charges, cloud compute, SMS per-message rates, domain renewals) are billed directly by third-party vendors and are the sole financial responsibility of the Client.
• Third-Party Policy Changes: KKWEBMART is not liable for upstream outages, policy amendments, rate limit throttle, or account suspensions initiated by third parties (e.g. Meta, Apple App Store, Google Play).

We stand behind the technical quality of our engineering. Every custom development project includes a 30-Day Complimentary Warranty Period starting on the date of production launch or final handover:

• Coverage: Correction of software bugs, syntax errors, layout rendering faults, or functional discrepancies directly deviating from the approved SOW specifications.
• Exclusions: Issues resulting from unauthorized modifications made to the source code by client personnel, third-party server failures, or new feature requests introduced after final sign-off.
• Ongoing Maintenance: Following the warranty period, ongoing SLA support, monthly feature sprints, and 24/7 server monitoring are available through dedicated retainer agreements.

Both parties agree to hold in strict confidence all proprietary technical, financial, and strategic information disclosed during the engagement. KKWEBMART shall not disclose Client source code, database dumps, customer lists, or proprietary workflows to any third party without explicit prior written consent.

Portfolio Attribution: Unless a white-label NDA is explicitly contracted, KKWEBMART reserves the right to mention the Client's brand name and display non-confidential screenshots of the completed platform in our portfolio case studies.

To the maximum extent permitted by applicable law:

• Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data loss, or business interruption.
• KKWEBMART’s total aggregate liability arising out of or related to any project engagement shall be limited strictly to the total professional service fees actually paid by the Client to KKWEBMART under the specific Statement of Work giving rise to the claim.

Either party may terminate an engagement for cause upon fourteen (14) days' written notice if the other party breaches a material obligation and fails to cure such breach within the notice window.

In the event of early termination, the Client shall pay for all milestone work completed and verified up to the termination effective date. All corresponding source code and deliverables produced for completed and settled milestones will be transferred to the Client.

These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the substantive laws of India.

In the event of any disagreement, the parties agree to first seek amicable resolution through good-faith executive consultation for thirty (30) days. Any unresolved legal disputes shall be subject to the exclusive jurisdiction of the competent courts in India.
